The Central Bank of Barbados is seeking to fill the post of Bank Secretary, Governor’s Office.
Job Summary
To serve as Secretary to the Board of Directors and principal officer responsible for Board governance, statutory compliance, and corporate records of the Central Bank of Barbados, and to ensure that the Bank receives timely, coordinated, and effective legal support in collaboration with the legal counsel and external advisers
To provide legal input and support consistent with qualifications and experience, particularly in matters of governance, statutory interpretation, and institutional compliance
Key Duties and Responsibilities
The duties and responsibilities include:
Board and Governance
- Ensuring the effective functioning of the Board of Directors and its committees by coordinating the preparation, circulation, and safe custody of all Board and committee papers, agendas, and supporting documentation
- Ensuring that proceedings of the Board and its committees are accurately recorded, including minutes, resolutions, and decisions, and that follow-up actions are tracked and progressed with the appropriate parties
- Serving as custodian of the Bank’s corporate records, including Board minutes, resolutions, statutory registers, and governance documents
- Maintaining primary responsibility for the safekeeping and use of the corporate seal of the Bank
- Advising the Governor and the Board on matters of corporate governance, Board procedures, conflicts of interest, and good governance practices
Statutory and Regulatory Compliance
- Ensuring that the operations and governance of the Bank remain compliant with the Central Bank of Barbados Act, subsidiary legislation, and other applicable laws
- Monitoring legislative and regulatory developments relevant to the Bank and advise the Governor and Board on governance or institutional implications
- Coordinating the preparation and publication of statutory instruments and other legally required notices, including liaison with the Government printer and relevant authorities
- Supporting the preparation of statutory reports, disclosures, and governance statements required under applicable law
Legal Coordination and Advisory Support
- Ensuring that the Bank has access to timely and appropriate legal advice by coordinating closely with the legal counsel and, where necessary, external legal advisers
- Providing governance-related legal advice to the Governor and the Board, including advice on statutory interpretation, Board authority, institutional independence, and compliance matters
- Where required, assisting or supporting the legal counsel in legal work, including review of contracts, policy instruments, or legal opinions, consistent with qualifications and experience
- Facilitating the effective management of legal matters involving the Bank, including coordination of instructions to external counsel and oversight of legal documentation affecting Board or institutional matters
Leadership and Management
- Planning, supervising, and evaluating the performance of staff assigned to the Bank Secretary’s Office and any staff reporting directly to the role
- Supporting staff development through coaching, performance management, and identification of relevant training opportunities, including governance and regulatory training
Relationships
Establishing and maintaining effective working relationships with members of staff, the legal counsel, external legal advisers, the Ministry of Finance, the Chief Parliamentary Counsel, regional and international regulatory bodies, and other relevant stakeholders
Qualifications
- An attorney-at-law called to the Bar in Barbados
- At least 10 years’ experience as a practicing attorney-at-law, including experience in governance, regulatory, or institutional advisory work
- A postgraduate degree in a legal, business, or financial discipline
- A qualification in corporate governance or company secretarial practice, including from the Institute of Chartered Secretaries and Administrators, would be an asset

- Strong knowledge of statutory interpretation, governance frameworks, and regulatory environments
- Demonstrated ability to provide sound governance and legal advice at senior and Board levels
- Excellent analytical, organisational, and drafting skills
- Strong interpersonal, negotiation, and communication skills
- High standards of integrity, discretion, and professional judgment
- Ability to manage multiple priorities and operate effectively with limited supervision
